As part of a process to improve the financial position of the City of Haapajärvi, we provided a legal assessment of the requirements for distribution of funds by one of the City’s subsidiaries, as well as certain competition law matters. Our advice also included updating the company’s shareholders’ agreement, providing legal advice throughout the negotiation process and advising on corporate law matters relating to the implementation of the distribution of funds.

Together with its partner Adven, EVO implemented an arrangement in which the parties participate in the electricity reserve market using a battery energy storage facility to be constructed in Kuusamo, together with other capacity used in EVO’s district heating production. We were pleased to act as the legal adviser of EVO on this pioneering project.

We acted as the administrator in Kuusamon Juusto Oy’s corporate restructuring proceedings and subsequently as supervisor of the restructuring programme. As part of the restructuring, the production and marketing operations of Kuusamon Juusto Oy were reorganised, and the company secured new capital and new owners.

We advised Oulun Maa- ja Vesirakennus Oy on construction contracts relating to the Hailuoto bridge connection project. Our advice included the legal review of the construction contracts and contractual matters relating to project execution as part of this major infrastructure project.

We advised Harviala Oy on a request for procurement rectification submitted to the contracting authority and on an appeal before the Market Court. Following our legal advice, the contracting authority issued a procurement rectification decision, as a result of which the proceedings before the Market Court were discontinued.

We advised on the establishment of the Terwarahasto 2 Ky fund. Our advice covered the drafting of the establishment documents and fund agreements, as well as the required data protection documentation. The resulting structure supports the fund’s operations and provides the parties with a clear framework for decision-making.

A large team of our experts has been involved in the administration of the bankruptcy estates of the three Lehto Group operating companies, advising on matters including disputes, employment law issues and the realisation of the project portfolio.

As businesses expand into new areas, careful legal planning becomes particularly important in corporate transactions. We advised Saka on its acquisition of a majority interest in KoukkuPlus Oy, a company specialising in automotive accessories. The transaction involved due diligence, the business acquisition and related transaction documentation, as well as the establishment of a new company.

Pohjolan Osuuspankki provides a comprehensive range of banking and financial services to both private and corporate customers and serves as an important financial partner in the region. Its role extends beyond providing financing to supporting and enabling local businesses and economic activity. We have acted as the business law adviser of Pohjolan Osuuspankki on matters relating to real estate and construction law and employment law.

We have advised Oulun Energia Oy on numerous green transition projects. We have assisted the company with investments in energy production facilities, sector-specific arrangements, and contractual arrangements relating to virtual power plants and energy storage systems.

Succession planning and changes in ownership structures require careful planning, where corporate law, tax, and operational considerations are closely intertwined. We assisted X Ltd. in a succession planning process as well as in share issues supporting the company’s growth and development. Additionally, we acted as chair of the general meeting, ensuring proper conduct of the proceedings and the legal certainty of the decision-making.

We have advised Junnikkala Oy on the project agreements and financing arrangements relating to the sawmill project developed in the Laanila industrial area in Oulu, as well as on a significant M&A transaction in which Stora Enso acquired the entire share capital of Junnikkala Oy in 2025.
