Mergers, acquisitions and corporate transactions are significant strategic decisions for our clients, requiring careful planning, broad legal expertise and a thorough understanding of their businesses and objectives. Our comprehensive services cover the entire transaction lifecycle, from strategic planning and due diligence to transaction documentation, negotiations and post-closing support.

We advise our clients on acquisitions and divestments, joint ventures, private equity investments and intra-group reorganisations, both in Finland and internationally. We have structured and implemented a wide range of corporate transactions for our clients, including mergers, partial and full demergers, asset sales and share exchanges, as well as combinations of these. We also regularly advise clients on share issues and other matters and arrangements related to corporate finance. Corporate transactions may involve not only the sale of a business, but also business succession or the incentivisation and retention of key employees through share and option arrangements.

We advise on the multidisciplinary aspects of mergers, acquisitions and other corporate transactions, including taxation, contract and corporate law, intellectual property and employment law. Where required, we assist clients in obtaining a binding advance tax ruling from the tax authority to confirm the tax treatment of a transaction in advance, and can also assess family and inheritance law risks as part of our overall assessment.
